Australia's simplest company registration service
Honcho helps you register a company with ASIC quickly and correctly. Our service provides clear pricing and guidance so you can set up your company with confidence.
When a company is registered, it becomes a separate legal entity. It receives an Australian Company Number (ACN) and must follow certain reporting and compliance requirements.
Before someone can be appointed as a company director, they must first obtain a Director ID. A company structure can also provide limited liability, helping separate personal and business responsibilities.
Honcho simplifies ASIC company registration with a structured and guided approach. Company registration requires details such as your company name, registered office address, principal place of business, director information and a valid Director ID, along with confirmation of your share structure and governance rules.
Once approved, ASIC creates your company as a separate legal entity and issues an Australian Company Number (ACN).
We prepare and lodge your ASIC company registration to ensure all details are submitted correctly
We also arrange ABN, TFN and GST registration as part of our service so your company is set up properly
We can assist with company compliance, name and address changes and deregistration when required

Most people are eligible to register a Pty Ltd company in Australia. The only requirements are that the company has at least one director residing in Australia and a physical address (not a PO box) for the registered office. Note that if none of the company directors are eligible to work in Australia, you will be able to register the company, but it cannot trade. People with a history of bankruptcy or those with certain criminal convictions may also be restricted from being a director.
Our company registration fee is $999 including GST.
Our fee includes professional review and lodgement of your application, as well as all government liaison. We also prepare all of your required legal documentation such as consents, the share registry, share certificates and opening minutes.
Most applications are registered in one day, many within an hour or two. It really depends on two factors; whether all proposed directors have a Director Identification Number (DIN) and your application not being flagged by ASIC for manual review. The most common reasons for a manual review include using made up or foreign words in your company name, choosing a name that has already been registered or providing incorrect details in your application. Once your company is officially registered with ASIC, we will send all certification and company documentation ASAP. Applications flagged for manual review by ASIC usually take around 60 minutes to be registered if submitted during business hours. If your application is submitted outside of business hours and requires review, it will be processed the following business day.
Yes, within the guidelines. The name cannot be identical or too similar to a company or business name that has already been registered. Company names featuring made up names or foreign words often require manual approval by ASIC, which takes longer than the automated service.
Give us a call on 1300 587 203 or email support@honcho.com and we can amend your details for you. Please note that if your company has already been registered, extra fees may apply depending on the changes needed.
To complete your company registration in Australia, you'll need to provide key details including the full name, residential address, date and place of birth of each director, as well as the full name, address and share allocation for each shareholder. You will also need to confirm your registered office address and principal place of business, along with a valid Director Identification Number (Director ID) for all directors. As part of our service, we also allow updates to director and shareholder details within 30 days of your application to help ensure your company setup is accurate from the start.
The Director Identification Number serves as a unique identifier for directors in Australia, fostering transparency and reducing identity fraud. It is an essential requirement for registering a company and can be completed concurrently with your company registration.
To get your Director ID, visit the official Australian Business Registry Services (ABRS) website at https://www.abrs.gov.au/director-identification-number/apply-director-identification-number. After providing necessary details, ASIC will verify and assign a Director ID to each director. Once obtained, we will continue your company registration, streamlining the process and keeping you up to date as we make progress.
You’ll receive your corporate key within 3-5 business days by mail to your registered office address. Unfortunately, you cannot receive it over the phone or online.
Much like companies on the stock market, many private companies also issue shares. This is true for Pty Ltd companies too. Issuing shares is a way of giving ownership of the company to one or more people. Anyone issued shares in the company is considered a shareholder and has ownership of the company and decision making power respective to the amount of shares they hold.
In a simple example, if Beth holds 80% of the shares of a company, she owns 80% of the company and has the respective decision making power. If John holds 7% of the shares, he owns 7% of the company and has a much smaller say in the company than Beth.
The most common type of shares are Ordinary shares, meaning that there’s nothing special or different about the shares and that they don’t come with special rights. For a company owned by one person, it’s typical to have between 1-100 Ordinary shares with between 1c and $1 paid per share and $0 unpaid.
Not every business needs to register a company. Many people operate as sole traders or partnerships. However, if you want to operate as a proprietary limited (Pty Ltd) company, you must register the company with ASIC. A company structure creates a separate legal entity and may help separate personal and business responsibilities.
Company registration creates a legal entity and issues an ACN, but it does not automatically protect your brand. If you trade under a name different from your company name, you must also complete business name registration.
Registering a business name prevents others from registering the exact same name in Australia, but it does not provide full legal protection of the brand. To secure exclusive rights to a name or logo, you must apply for a trademark.
You can also apply for a trademark through our online form if you want to protect your brand. Alternatively, you can email, chat or speak with one of our business specialists if you would like guidance.
